Taskeract Terms of Service

1. Acceptance of Terms

Welcome to Taskeract! These Terms of Service ("Terms") govern your access to and use of Taskeract ("we," "us," or "our") and its AI-assisted project management platform, including all related websites, services, and applications (collectively, the "Service"). By creating an account or otherwise using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, you must not use Taskeract.

If you are using Taskeract on behalf of a company or other entity, you represent that you have the authority to bind that entity to these Terms, in which case "you" refers to that entity. You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service. If you are 13 or older but under 18, you may use the Service only with the involvement and consent of a parent or legal guardian, who must also agree to these Terms.

2. Changes to Terms

We may modify these Terms from time to time. If we make material changes, we will notify you by email or by posting a notice on our site prior to the change becoming effective. The updated Terms will be indicated by an updated effective date at the top. By continuing to use the Service after revised Terms take effect, you accept the changes. If you do not agree to the revised Terms, you should stop using and cancel your account before they become effective.

3. Description of Service

Taskeract is a Software-as-a-Service (SaaS) platform for AI-assisted project management, created and wholly owned by Acqusys, LLC. It allows you to create and manage projects, organize vertical features, user stories, and tasks, and receive AI-generated suggestions to help with project planning and task completion. The Service integrates with various third-party providers to offer features such as AI-powered content generation, web search, analytics, and error tracking. Taskeract is provided via a web-based interface in English (US) and all billing is in U.S. dollars (USD). We continually improve the Service and may add, change, or remove features at our discretion. We will endeavor to inform you of major changes.

Please note that Taskeract's AI suggestions are intended to assist you, but you are responsible for verifying the accuracy and appropriateness of all suggestions. The Service does not use any of your private project data to train its AI models, and we do not mine or reuse your proprietary content for any purpose outside of providing the Service.

4. Account Registration and Security

To use Taskeract, you must register for an account. Registration is done via email or supported third-party social login providers, such as GitHub, Google, Microsoft, or Atlassian. You authorize Taskeract to collect and store authentication information from these providers (for example, your name, email address, and unique user ID). You are responsible for ensuring that the information obtained from your social login account is accurate and up-to-date. You must also keep your login credentials secure. Do not share your account or allow others to access the Service through your credentials. If you suspect unauthorized use of your account, you must notify us immediately.

Each account is meant for a single user. You are responsible for all activities that occur under your account. Taskeract is not liable for any loss or damage arising from unauthorized use of your credentials. Please maintain appropriate security for your social login accounts as well, since those are used to access Taskeract. We may also require additional verification steps (such as email or multi-factor authentication via the social login provider) to enhance security.

5. Subscription Plans, Fees, and Payment

Plans and Billing: Taskeract is offered under several subscription tiers for both individual and organization accounts. Each tier carries a monthly subscription fee and includes distinct features, some of which may be per month. Fees associated with AI usage are included in the subscription fee, however we reserve the right to rate limit or otherwise restrict usage of AI features if necessary. By subscribing, you agree to pay all applicable taxes and fees for the tier you select. All fees are stated in USD and are exclusive of taxes (such as VAT or sales tax) which will be added as required by law.

Payment Processing: We use a third-party payment processor (currently Stripe) to handle subscription billing and payments. This provider acts as a Merchant of Record for Taskeract, meaning they process your payment details and handle applicable taxes. You must provide a valid payment method (e.g., credit card) through our payment processor and authorize us (and Stripe) to charge your payment method for the monthly subscription fees and any additional usage fees. We do not store your full payment card details on our servers; payment information is securely collected and processed by our payment provider. You are responsible for keeping your billing information current.

Auto-Renewal and Cancellation: Your subscription will automatically renew monthly unless you cancel it. You can cancel at any time through your account settings or by contacting support. If you cancel, you will continue to have access to the paid features until the end of your current billing period. After that, your account may be downgraded to a free or limited functionality (if available) or deactivated. No refunds will be provided for partial periods or unused services, except where required by law. This means that if you cancel in the middle of a billing cycle, you will not receive a refund for the remaining days of that cycle. We reserve the right to change our subscription fees or institute new fees upon reasonable advance notice. Fee changes will apply only to billing periods after the effective date of the change.

6. User Content and Intellectual Property

Your Content: When using Taskeract, you may input, upload, or generate content such as project plans, feature descriptions, user stories, task details, comments, attachments, or other materials ("User Content"). You retain all rights and ownership of your User Content. Taskeract does not claim any ownership over the content you provide to the Service. Except for the limited license you grant us below, you own and control your data and inputs. This includes any outputs generated for you by the AI features based on your inputs; those outputs are also considered your Content, belonging to you to the extent permitted by law.

License to Taskeract: In order to operate and provide the Service, you grant Taskeract a worldwide, non-exclusive, royalty-free, and limited license to host, store, transmit, display, copy, and process your User Content. This license is solely for the purpose of operating, maintaining, and improving the Service and providing features such as AI suggestions or search results at your request. We will only access and use your Content as needed to provide the Service to you (for example, to display it to you and those you authorize, to back it up, or to feed it into our AI or search integration to generate results for you). This license also extends to our trusted third-party service providers (processors) solely as needed to deliver the Service (for example, sending your prompt to the AI engine to generate a suggestion). We will not use or share your Content for any other purposes.

Your Responsibilities for Content: You are solely responsible for all User Content you create or provide, and for ensuring that your content (including AI-generated outputs you choose to keep) complies with these Terms and applicable laws and does not infringe any third-party rights. You represent and warrant that you have all necessary rights, licenses, and permissions to submit your Content to the Service and to grant the license above. This means, for example, that you will not upload content that you do not have the right to use, such as proprietary information of others or content protected by intellectual property laws (copyright, trademark, trade secret, etc.) without permission. Do not include any sensitive personal data (such as health information, social security numbers, financial account details, etc.) in the Service unless necessary, and understand that such data will be handled by third-party processors as described in our Privacy Policy. If you choose to input personal data of others, you are responsible for doing so in compliance with privacy laws and only with proper authority or consent.

Taskeract Intellectual Property: Acqusys, LLC, and its licensors retain all right, title, and interest in and to the Service and all content provided by us within the Service, including but not limited to software, technology, algorithms, AI models (excluding the outputs generated specifically from your inputs), design, user interface, trademarks, trade names, logos, and all related intellectual property ("Taskeract IP"). These Terms do not grant you any ownership of or license to Taskeract IP or the intellectual property of any third party integrated in the Service, except for the limited right to use the Service as provided. You agree not to copy, distribute, modify, create derivative works based on, reverse engineer, or decompile any part of the Service or Taskeract IP, except as permitted by applicable law. You shall not remove or obscure any copyright, trademark, or other proprietary notices on the Service.

Feedback: If you provide suggestions, ideas, feature requests, or feedback to us regarding Taskeract ("Feedback"), you grant us a royalty-free, worldwide, sublicensable, irrevocable, and perpetual license to use and incorporate your Feedback into Taskeract or our business operations. We have no obligation to implement your Feedback or keep it confidential.

7. Acceptable Use Policy

You agree to use Taskeract in a responsible manner. You must not misuse the Service. In particular, when using Taskeract, you agree NOT to:

  • Break the law: Do not use the Service for any unlawful, fraudulent, or malicious activities. This includes (but is not limited to) posting or storing content that is defamatory, harassing, obscene, sexually explicit, child exploitative, hateful, or otherwise violates any law or regulation.
  • Infringe rights: Do not upload or share content that violates the intellectual property rights or privacy rights of others. For example, do not use Taskeract to store pirated software, copyrighted material without permission, or personal data about individuals without authority.
  • Harm the Service or others: Do not introduce viruses, malware, or any other harmful code, or do anything that could disrupt, disable, overburden, or impair the proper working or security of the Service. You must not attempt to gain unauthorized access to the accounts, data, or systems of others, or to any systems or networks connected to the Service. Similarly, do not attempt to probe or test the vulnerability of our systems or networks.
  • Circumvent limitations: Do not attempt to circumvent or disable any usage limits, quotas, security measures, or billing mechanisms. This includes refraining from creating multiple accounts to bypass free tier limitations or using automated scripts or bots to continuously exploit the Service beyond intended use.
  • Misuse AI features: Do not use the AI-powered features to generate disallowed or harmful content. You should not, for instance, attempt to have the AI produce illicit materials, extremely violent or hate-filled content, or any output that violates these Terms or the acceptable use policies of our AI provider. Using AI suggestions to assist with tasks is fine, but you must not deploy those suggestions in violation of any laws or third-party rights.
  • Automated use or reselling: Do not use the Service in a way that involves automated querying, scraping, or exporting of data from Taskeract other than through any official API or export features we may provide. You also agree not to reproduce, duplicate, copy, sell, trade, or resell any portion of the Service or access to the Service for any commercial purpose other than as explicitly permitted by us.

If you engage in any of the prohibited activities above or otherwise violate these Terms, we may suspend or terminate your account (see Section 11 below) and, if necessary, report you to law enforcement or pursue legal action. Taskeract reserves the right (but has no obligation) to review any content or activity for compliance with these Terms and to investigate any violation.

8. AI-Powered Features and Disclaimers

Taskeract's unique value is its integration of AI-powered features to assist you in project management. This includes generating suggestions for task descriptions, summaries, or even conducting web searches on your behalf to retrieve relevant information. While we strive to make these AI features useful and reliable, it is important to understand their limitations and the terms under which they are offered:

  • No Guaranteed Accuracy: The AI-generated suggestions and outputs are provided for convenience and brainstorming purposes. We do not guarantee that AI outputs will be correct, accurate, complete, or suitable for your specific needs. The AI may occasionally produce incorrect information or content that seems plausible but is erroneous. You should independently verify important or critical information rather than relying solely on AI suggestions. Taskeract is not responsible for any decisions you make or actions you take based on AI-provided information.

  • Not Professional Advice: The AI suggestions (and any web search results provided through the Service) are not intended as professional advice (e.g. not legal, financial, or expert advice). You should consult qualified professionals for advice in those domains. The AI content is generated automatically and does not reflect the opinion or endorsement of Taskeract.

  • User Responsibility: You remain fully responsible for the content you create or decisions you make using the Service's AI features. If you choose to use an AI-generated description or plan in your project, you assume responsibility for that content. Use your judgment and carefully review all AI outputs. If you find any AI-generated content to be inappropriate, offensive, or in violation of these Terms, please contact us so we can improve our filters.

  • Data Processing by AI: In order to generate AI suggestions, Taskeract may send the relevant portions of your content (for example, a task title or prompt you provide, along with necessary context) to our AI service providers for processing. By using the AI features, you consent to this transfer and processing of your content by our AI providers. We configure our use of our AI providers such that your data is not retained by them beyond what is necessary to return the result, and our AI providers do not use your data for training. The AI processing is performed securely; however, you should avoid including highly sensitive personal or confidential information in prompts just as a precaution. (Remember, we do not use your data to train our models, and our providers either refrain from using it by configuration or never use it for training.)

  • Web Search Integration: Some AI features may involve performing an internet search through a third-party search service (Tavily) to gather information. If you use these features, your search query (and any context you provided for it) will be transmitted to the search service, which will fetch results from the web. Taskeract will then use those results to generate a summary or answer. We do not control the content of external websites returned in search results, and we are not responsible for any third-party content or links. Such content may be subject to its own copyright or terms of use. Use external information obtained via Taskeract's search feature at your own risk, and be mindful not to infringe copyrights or other rights if you incorporate external material into your projects.

9. Third-Party Services and Integrations

Taskeract relies on several third-party services to provide authentication, payments, AI, search, analytics, and error tracking. By using Taskeract, you acknowledge and agree to the involvement of these third-party providers and that your information may be shared with them as needed to operate the Service (as detailed in our Privacy Policy). Key third-party services we use include:

  • Authentication (Clerk): We use Clerk for user authentication and account management. Clerk manages your login sessions and securely stores identity information from your social logins on our behalf.
  • Payment Processing (Stripe): Stripe handles subscription billing, payment processing, and tax calculation as our Merchant of Record. When you subscribe, the payment details you provide are processed by Stripe subject to their terms.
  • AI Services (Various): Various AI provider API's power Taskeract's AI suggestion features. They receive your prompt and context to return an AI-generated output. As noted, they do not use API data to train their models, and we have not opted in to any data sharing that would override this policy. We will never knowingly use a provider who will use your data (or ours) to train their models.
  • Web Search (Tavily): Tavily (or a similar service) facilitates web search queries triggered through Taskeract's AI features. The search query and necessary context are sent to Tavily, which interfaces with search engines to retrieve results.
  • Analytics (PostHog): We use PostHog to collect analytics about how users interact with Taskeract (e.g., which features are used, how often, user interface flows), as well as some exception and error data. This helps us improve the product. PostHog may set cookies or use similar technologies to track usage patterns and will receive information like your IP address, device information, and actions within the app.
  • Error Tracking (Sentry): Sentry is used to log and track technical errors or exceptions in the application. When a crash or error occurs, information about the error and the context (which may include user ID, browser type, and the state of the app when the error happened) is sent to Sentry to help us diagnose and fix issues. We try to avoid sending any of your actual project data in error logs, but some metadata or IDs might be included for debugging.

Each of these third-party services has its own privacy policy and terms of service, which you may consult for more details on their data practices. We contractually require our service providers to use any personal data from Taskeract users solely for the purpose of providing services to us and to implement adequate safeguards for your data. However, Taskeract does not control these third parties, and thus we are not liable for their acts or omissions. That said, if you encounter an issue related to a third-party service integrated with Taskeract, you can contact us and we will do our best to assist or facilitate a resolution.

Additionally, when you choose to log in via a third-party identity provider like Google, Microsoft, GitHub, or Atlassian, you are also subject to that provider's terms and privacy policy. Those providers may record the fact that your account was used to sign into Taskeract. Taskeract does not share any more information with these providers beyond what is necessary for authentication.

We may add or replace third-party providers as our Service evolves. We will update our documentation and Privacy Policy accordingly when that happens. Your continued use of Taskeract after we integrate a new provider constitutes your consent to that integration.

10. Privacy

Your privacy is very important to us. Our Privacy Policy explains how we collect, use, share, and protect your personal data in connection with your use of Taskeract. By using the Service, you agree that we can process your information in accordance with our Privacy Policy, which is incorporated into these Terms by reference. In summary, we collect only the data necessary to provide and improve the Service (such as your account information, project content, and usage data), and we share it only with the third parties mentioned above and as needed for legal compliance. We do not sell your personal information to third parties. We strive to comply with all applicable data protection laws, including the EU General Data Protection Regulation (GDPR) and the California Consumer Privacy Act (CCPA), as described in the Privacy Policy.

Please review the Privacy Policy carefully to understand our practices. If you have any questions about privacy or data use, you can contact us at privacy@taskeract.com. Using the Service signifies that you consent to the collection and use of information as outlined in the Privacy Policy. If you cannot agree to the Privacy Policy or these Terms, you must discontinue use of Taskeract.

11. Termination and Suspension

By You: You may stop using the Service at any time. You may also contact us to delete your Taskeract account or else you can cancel your subscription through the account settings. If you choose to delete your account, we will process the deletion of your personal data as described in our Privacy Policy (generally, your data will be scheduled for deletion, with retention of certain records as required by law). If you simply cancel a paid subscription, your account may remain active as a free or limited account (if such an option exists) or be deactivated after your paid period ends.

By Us: We reserve the right to suspend or terminate your access to Taskeract (or certain features of the Service) at any time, with or without notice, if we have reason to believe that: (a) you have violated any provision of these Terms or any applicable law; (b) your use of the Service creates risk of harm or legal exposure for us, other users, or any other party; (c) you fail to pay subscription or overage fees when due; or (d) we decide to discontinue the Service (though we have no immediate plans to do so). In most cases, if the situation allows, we will provide you with a notice of the breach and a chance to resolve it before terminating. However, for serious violations or unlawful conduct, immediate termination may be necessary.

If your account is terminated or suspended, you lose the right to access the Service or any of your content through the Service (though if you have your data stored locally or exported, that copy remains yours). We may delete your User Content from our active systems as part of the termination process, and you will no longer be billed (if terminated by us without cause, we may provide a pro-rata refund for the remaining period you paid for; if terminated for cause or violation, you will not be entitled to any refund). Sections of these Terms that by their nature should survive termination (such as indemnification, limitation of liability, etc.) will continue to apply.

12. Disclaimer of Warranties

Taskeract is provided on an "AS IS" and "AS AVAILABLE" basis. While we endeavor to provide a great service, we make no warranties or representations of any kind, express or implied, about the accuracy, reliability, completeness, security, or availability of the Service. To the maximum extent permitted by applicable law, we disclaim all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties that may arise from course of dealing or usage of trade. We do not warrant that the Service will meet your requirements or expectations, that it will be uninterrupted, timely, secure, or error-free, or that any defects will be corrected.

No Guarantee of Results: You understand that use of Taskeract (including any AI suggestions or integrations) is at your own risk. Any recommendations or content provided by the Service are for informational purposes and do not come with any guarantee or warranty. You are solely responsible for the outcomes of using those suggestions in your projects.

Third-Party Materials: Taskeract may include integrations or links to third-party websites, services, or materials that we do not control. These are provided for convenience only. We do not endorse and are not responsible for any third-party content or services. Your dealings with third parties (including those you access through Taskeract, such as through OAuth logins or web search results) are solely between you and that third party. We make no warranty that any third-party services will function without disruption, or that they will continue to be supported.

Some jurisdictions do not allow the exclusion of certain warranties. If you are in such a jurisdiction, some of the above exclusions may not apply to you - in that case, we limit our warranties to the minimum extent permitted by law.

13. Limitation of Liability

To the fullest extent permitted by law, in no event will Acqusys, LLC or its officers, directors, employees, agents, partners, or suppliers be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenues, business opportunities, goodwill, data, or content, even if we have been advised of the possibility of such damages. This limitation of liability applies to all claims, whether based on warranty, contract, tort (including negligence), strict liability, or any other legal theory.

In particular, Acqusys, LLC shall not be liable for any damages resulting from: (a) your use of or inability to use the Service; (b) any modification, price change, suspension, or discontinuance of the Service; (c) unauthorized access to or alteration of your transmissions or data; (d) statements or conduct of any third party on the Service (including content provided or actions taken by other users or integrated third-party services); or (e) any other matter related to the Service.

Maximum Liability: Insofar as any liability is not legally excludable, the total liability of Acqusys, LLC to you for all claims arising out of or relating to these Terms or your use of the Service is limited to the amount you have paid us for the Service in the twelve (12) months immediately preceding the event that gave rise to the claim. If you have not paid any amount (for example, if you are on a free tier), our total liability to you shall not exceed US $100. You agree that this limitation of liability is a reasonable allocation of risk and is a fundamental element of the basis of the bargain between you and Acqusys, LLC. The Service would not be provided to you without such limitations.

Because some jurisdictions do not allow the exclusion or limitation of certain damages, in such jurisdictions, our liability will be limited to the smallest amount permitted by law. Nothing in these Terms is intended to exclude liability that cannot be excluded under law (for example, certain liabilities under applicable product liability law or for intentional misconduct).

14. Indemnification

You agree to indemnify, defend, and hold harmless Acqusys, LLC and its affiliates, officers, agents, employees, and partners from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees and court costs) that arise out of or relate to: (a) your use of the Service; (b) your User Content or any content you generate through the Service (including AI outputs you use); (c) your violation of these Terms or of any law or regulation; or (d) your infringement or misappropriation of any intellectual property or other rights of any third party. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you (in which case you agree to cooperate with us in defending such matter). This indemnification obligation will survive any termination of your account or the Service.

15. Governing Law and Dispute Resolution

These Terms and any dispute arising out of or related to them or the Service will be governed by and construed in accordance with the laws of the State of Illinois, USA, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

Jurisdiction and Venue: You agree that any disputes or claims arising from or relating to these Terms or your use of the Service will be subject to the exclusive jurisdiction of the state and federal courts located in the State of Illinois. You consent to personal jurisdiction in such courts and waive any objections to the convenience of this forum. Notwithstanding the above, Acqusys, LLC may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.

International Use: We make no representation that the Service is appropriate or available for use in locations outside the United States. If you choose to access or use Taskeract from outside the U.S., you do so at your own initiative and are responsible for compliance with any applicable local laws. You may not use or export any part of the Service in violation of U.S. export laws and regulations. By using Taskeract, you represent that you are not located in, under the control of, or a national or resident of any country or region that is subject to U.S. sanctions (such as embargoed countries), and that you are not on any U.S. government list of prohibited or restricted parties.

16. Miscellaneous

Entire Agreement: These Terms (together with the Privacy Policy and any additional guidelines or terms provided for specific features or promotions) constitute the entire agreement between you and Acqusys, LLC concerning the Service, and supersede all prior or contemporaneous communications, agreements, and understandings regarding the subject matter.

Severability: If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions of these Terms will remain in full force and effect.

No Waiver: Our failure to enforce any right or provision of these Terms will not operate as a waiver of that right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of Acqusys, LLC.

Assignment: You may not assign or transfer these Terms or your rights or obligations under them, in whole or in part, to any third party without our prior written consent. Any attempted assignment in violation of this provision is void. Acqusys, LLC may freely assign or transfer these Terms (for example, in the event of a merger, acquisition, or sale of assets) without notice to you. These Terms will be binding upon and inure to the benefit of the parties and their respective successors and permitted assigns.

Relationship of Parties: You and Acqusys, LLC are independent contractors, and nothing in these Terms will be construed to create any partnership, joint venture, employment, franchise, or agency relationship between us. You have no authority to make or accept any offers or representations on our behalf.

Headings: Section headings in these Terms are for convenience only and have no legal or contractual effect.

Notices: We may send you legal notices and other communications regarding your account or your use of Taskeract by email (to the address associated with your account), via in-app notifications, or by mail. You are responsible for keeping your account email address current. Any notices that you provide to us must be emailed to legal@taskeract.com (unless we specify a different address for a given notice).
