Acceptance of Terms
By downloading, installing, or using the Taskeract desktop application, you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not install or use the software.
Eligibility
You must be at least 18 years of age to use Taskeract. By using the software, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these terms.
Modifications
We reserve the right to modify these terms at any time. We will notify users of material changes via email or through the application. Your continued use of Taskeract after modifications constitutes acceptance of the updated terms.
Account & Billing
To use Taskeract, you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
Account Security
You agree to notify us immediately of any unauthorized use of your account or any other breach of security. We will not be liable for any loss or damage arising from your failure to comply with this obligation.
Subscription Plans
Taskeract is offered as a subscription-based service with Individual, Individual Pro, Team, and Team Pro plans at various price points. Current pricing is available at taskeract.com/pricing. The Individual plan includes a 14-day free trial. No other plan includes a free trial. Subscriptions are billed in advance for the applicable billing period.
Payment Terms
Payment is processed through Stripe via Clerk. You agree to provide accurate, complete, and current payment information. We reserve the right to modify our pricing at any time with 30 days notice. Price changes will take effect at the start of your next billing period.
Free Trial
New users on the Individual plan receive a 14-day free trial with full access to all features. No payment method is required to start the trial. If you do not subscribe before the trial ends, your access to the application will be suspended until a subscription is activated.
Refund Policy
You may cancel your subscription at any time. Upon cancellation, you will retain access to Taskeract until the end of your current billing period. We do not provide partial refunds for unused time within a billing period. The 14-day free trial allows you to fully evaluate the software before committing to a paid subscription.
Software License
Subject to your compliance with these terms and an active subscription, Acqusys, LLC grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the Taskeract desktop application on devices you own or control.
License Restrictions
You may not sublicense, sell, resell, transfer, assign, or distribute the software. You may not modify, reverse engineer, decompile, or disassemble the software, except to the extent that applicable law expressly permits such activity. You may not create derivative works based on the software.
License Scope
Your license is tied to your individual account. Each subscription entitles you to use Taskeract on your own devices. The license is valid only for the duration of your active subscription.
Updates
We may release updates, patches, or new versions of the software from time to time. These updates may be required for continued use. Updates are included as part of your active subscription at no additional cost.
Services
Taskeract is a desktop application for orchestrating AI coding agents in isolated development environments. The application manages agent sessions and git worktrees on your local machine to provide sandboxed environments for AI-assisted software development.
Service Availability
The Taskeract desktop application runs locally on your machine. Authentication and licensing services require an internet connection. We strive to maintain high availability of our authentication and licensing infrastructure but do not guarantee uninterrupted access.
Telemetry & Analytics
Taskeract collects optional usage analytics to improve the product. Basic application lifecycle events (open/close) and feedback submissions are always captured. Additional usage analytics and error reports (session creation, errors, etc.) can be disabled in Settings > Privacy. An optional diagnostic mode enables session recording when Taskeract support requests it to help diagnose a specific problem; this mode is always enabled in preview and beta builds. No code, prompts, agent session contents, or repository data are ever collected. See our Privacy Policy for full details.
Service Modifications
We may modify, update, or discontinue features of the software at any time. We will provide reasonable notice of material changes. We will not be liable to you or any third party for any modification or discontinuance of features.
Third-Party AI Tools
Taskeract orchestrates third-party AI coding tools such as Claude Code, OpenAI Codex, and OpenCode. Your use of these tools is subject to their respective terms of service and privacy policies. Taskeract is not responsible for the availability, performance, or output of third-party AI tools.
Acceptable Use
You agree to use Taskeract only for lawful purposes and in accordance with these terms.
Permitted Uses
- Orchestrating AI coding agents for software development
- Managing isolated development environments on your local machine
- Creating and managing git worktrees for parallel development
Prohibited Uses
- Violating any applicable laws or regulations
- Circumventing subscription requirements or licensing controls
- Sharing account credentials or allowing unauthorized access
- Reverse engineering, decompiling, or disassembling the software
- Redistributing or reselling the software or access to it
- Using the software to develop a competing product
Intellectual Property
All content and materials comprising the Taskeract desktop application, including software, text, graphics, logos, and designs, are owned by Acqusys, LLC and are protected by intellectual property laws.
Your Content
You retain full ownership of all code, projects, configurations, and data you create or manage using Taskeract. Your code and project data remain on your local machine and are never transmitted to our servers.
Use of Your Content
We do not access, collect, or use your code, project data, or agent session contents. We do not sell, rent, or license your content to third parties. We do not use your content to train AI models.
Termination
Either party may terminate these terms at any time with or without cause.
Termination by You
You may cancel your subscription at any time through your account settings. Upon cancellation, your access to the software will continue until the end of your current billing period, after which the application will revert to an inactive state.
Termination by Us
We may terminate or suspend your account at any time for violation of these terms, fraudulent activity, or any other reason we deem necessary. We will provide notice when reasonably possible.
Effect of Termination
Upon termination, your license to use the Taskeract desktop application will cease. Your local data, including code, agent sessions, and development environments, will remain on your machine and is not affected by termination. Your account data held on our servers will be deleted within 30 days unless required to be retained by law. All provisions of these terms that by their nature should survive termination shall survive.
Disclaimer
Taskeract is provided "as is" and "as available" without warranties of any kind, either express or implied.
No Warranties
We expressly disclaim all warranties including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
AI Output
Taskeract orchestrates third-party AI coding agents. We are not responsible for the output, accuracy, or quality of code or content generated by these AI tools. You are solely responsible for reviewing and validating all AI-generated output before use.
Local Environment
While Taskeract provides isolated development environments, you are responsible for the security and integrity of your local machine. We are not liable for any damage to your system, data loss, or security breaches arising from the use of the software.
Indemnification
You agree to indemnify and hold harmless Acqusys, LLC from any claims arising from your use of Taskeract, your violation of these terms, or your violation of any third-party rights.
Governing Law
These terms are governed by and construed in accordance with the laws of the jurisdiction of the State of Illinois, in which Acqusys, LLC is registered.
Dispute Resolution
Any disputes arising from these terms shall be resolved through binding arbitration in accordance with rules of the American Arbitration Association, except where prohibited by law.
Severability
If any provision of these terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
Entire Agreement
These terms constitute the entire agreement between you and Acqusys, LLC regarding Taskeract and supersede all prior agreements or communications.
